1. Introduction

This End-User License Agreement ("Agreement") is a legal contract between you ("User") and [Your Company Name] ("Licensor") governing the use of [Software Name] ("Software"). By installing or using the Software, you agree to be bound by the terms of this Agreement.

2. Grant of License

Subject to compliance with this Agreement, the Licensor grants you a non-exclusive, non-transferable, revocable, limited license to install and use the Software for personal or internal business purposes.

The Licensor may provide updates or patches at its discretion. This Agreement applies to all updates unless accompanied by a separate license.

6. Data Collection and Privacy

Use of the Software may involve the collection and processing of personal data. Such processing is governed by our Privacy Policy, in compliance with Republic Act No. 10173 (Data Privacy Act of 2012).

7. Termination

This Agreement is effective until terminated. It will terminate automatically if you breach any term. Upon termination, you must uninstall and destroy all copies of the Software.

8. Disclaimer of Warranties

The Software is provided "as is" without warranties of any kind, express or implied. The Licensor disclaims all warranties including merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability

To the fullest extent permitted by law, the Licensor shall not be liable for any indirect, incidental, or consequential damages arising from the use or inability to use the Software.

10. Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of the Republic of the Philippines. Any disputes shall be resolved through amicable settlement or, if necessary, arbitration in accordance with the Alternative Dispute Resolution Act of 2004 (RA 9285).

11. Severability

If any provision of this Agreement is held invalid, the remaining provisions shall remain in full force and effect.

12. Entire Agreement

This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements regarding the Software.
